Terms of Service
Last updated: 6 October 2026 · Effective: 6 October 2026
1Who we are
These terms are an agreement between you and Bit175 LLC, a Delaware limited liability company ("bit175", "we", "us"), including its companies Groundwork, Commonplace, Kindling and Baseline. We are based in Texas, United States, and can be reached at support@bit175.com.
2Accepting these terms
By using bit175.com, submitting a form, or buying a service, you accept these terms. If you use them on behalf of an organisation, you confirm you have authority to bind it. If you do not accept these terms, do not use the site or services.
3Our services
Groundwork provides advisory and implementation services, including the AI Tools Assessment, Process Redesign, Knowledge Systems, Custom Workflows, Full Implementation and AI Concierge. Commonplace provides software products under separate product terms. Information about Kindling is not an offer to sell or a solicitation to buy any security. Baseline publishes research and works with research partners under separate agreements.
4Engagements and fees
Each paid engagement is described in a written statement of work or order form that sets out scope, deliverables, timeline and fees. If that document conflicts with these terms, the statement of work controls for that engagement.
Fees are quoted in writing before work begins, are exclusive of taxes unless stated, and are payable as set out in the statement of work. Where offered, an assessment fee credit applies only as stated in writing.
5Your responsibilities
You agree to give us accurate information and timely access to the people, systems and materials an engagement needs; to have the right to share any material you give us; to comply with the terms of any third-party tools you choose to use; and not to use our services or outputs for unlawful purposes or in ways that infringe others' rights.
6Recordings and client materials
We record and transcribe interviews only with the consent of the participants. You are responsible for obtaining consent from your staff who join a recorded session where the law requires it.
We process client materials as described in our Privacy Policy and any data processing agreement between us, and we delete or return them at the end of an engagement as set out in the statement of work.
7AI-generated output
Our services use AI systems, and outputs may contain errors. We review our deliverables, but you remain responsible for checking outputs before relying on them, particularly for legal, financial, medical, employment or other high-stakes decisions. Estimates of time saved are estimates until measured.
8Intellectual property
You keep ownership of your materials. Unless a statement of work says otherwise, on full payment you own the deliverables created specifically for you, and we keep ownership of our pre-existing tools, templates, methods and know-how, which we license to you for use within your business.
The bit175, Groundwork, Commonplace, Kindling and Baseline names and marks belong to Bit175 LLC.
9Confidentiality
Each party will protect the other's confidential information with reasonable care, use it only for the engagement, and disclose it only to people who need it and are bound by similar duties. We publish a client result or name only with your written permission.
10Third-party tools
We may recommend or configure third-party software. Your use of those products is governed by their own terms, and their providers, not bit175, are responsible for them. We do not accept referral fees from vendors we recommend.
11Disclaimers
Except as stated in a statement of work, the site and services are provided "as is" and "as available", and we disclaim implied warranties to the extent the law allows, including merchantability, fitness for a particular purpose and non-infringement.
12Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data, and each party's total liability for any claim relating to an engagement is limited to the fees paid for that engagement in the 12 months before the claim. These limits do not apply to liability that cannot be limited by law, to a breach of confidentiality, or to fees you owe for services.
13Indemnity
You will defend and indemnify bit175 against third-party claims arising from materials you provide or from your misuse of the services. We will defend and indemnify you against third-party claims that deliverables we created specifically for you, used as delivered, infringe that third party's intellectual property rights.
14Suspension and termination
Either party may end an engagement as set out in its statement of work. We may suspend access to a product or the site for misuse. Sections that by their nature should survive, including fees owed, intellectual property, confidentiality and limitation of liability, survive termination.
15Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and each party consents to their jurisdiction. If you are a consumer outside the United States, you may also bring proceedings in the courts where you live. Nothing in these terms limits rights you have under mandatory consumer law where you live.
16Changes to these terms
We may update these terms. We will post the new version here with a new date and, for material changes affecting active clients, tell you by email before they take effect. Signed statements of work keep the terms in force when they were signed unless both parties agree otherwise.
